1. Introduction
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-These Terms and Conditions (“Agreement”) govern the relationship between Meenysa Neil International Export Private Limited, an Indian-registered company (hereafter “the Company”, “we”, or “our”), and any approved international sales agent (hereafter “Agent”, “you”, or “your”) who promotes or assists in the sale of natural stones (including granite, marble, sandstone, limestone, quartzite, and slates) exported by the Company.By applying or signing the Sales Agent Contract or Form, you acknowledge that you have read, understood, and agreed to abide by these Terms and Conditions.
2. Appointment of Agent
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-The Company may appoint an Agent to represent its products in a specific region or country, upon submission and verification of the Sales Agent Application Form.Appointment is non-exclusive, unless otherwise stated in writing.The Agent will act only as a facilitator between potential buyers (importers) and the Company, and will not have the authority to enter into binding contracts on behalf of the Company.
3. Eligibility and Approval
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-to qualify as an approved International Sales Agent, the applicant must:1. Submit a duly filled Sales Agent Contract or Form.2. Provide valid business registration details, bank account information, and tax or identification documents.3. Be verified and approved by the Company through a formal approval email or written confirmation.4. Comply with all local and international trade regulations in their country of operation.No agent will be recognized or eligible for commission unless officially approved in writing by the Company.
4. Product information and Pricing.
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-All product specifications, visuals, and pricing are provided for general guidance. Slight variations in color, texture, or grain may occur due to the natural origin of stones.
Prices are generally displayed in USD ($) for international buyers. Prices may change without prior notice based on production costs, logistics, and currency fluctuations.
5.Orders and Acceptance
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-Orders are processed only after the buyer confirms the Proforma Invoice and submits the No Objection Certificate (NOC) on company letterhead with seal, signature, and stamp.
Failure to submit the required NOC or incomplete documentation may delay or cancel the order. Production and dispatch commence only after full payment confirmation as per mutually agreed terms.
6.Payment Terms
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-We operate under international trade terms such as FOB, CIF, or CFR.
Payments must be made via authorized banking channels only. Orders move into execution only after payment clearance.
We are not liable for delays caused by incomplete banking information or third-party financial intermediaries.
7.Shipping Policy
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-Our shipping partners are certified freight forwarders or as specified by the buyer’s nominated agent.
Estimated dispatch timelines are provided during order confirmation. Once goods are shipped, Meenysa Neil International Export Private Limited shall not be responsible for port delays, customs issues, or carrier negligence.
Shipping documentation will be duly shared with the buyer or their appointed clearing agent.
8.Refunds & Cancellations
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-Cancellation requests are accepted only before production begins. Once the material is cut or packed, cancellations cannot be processed.
If approved, refunds will be made to the original payment source within 5–7 working days after deducting applicable transaction or handling charges.
9.Commission Structure
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-The Agent will receive a 5% (five percent) commission on the total final invoice value of each completed order successfully generated through their reference.“Completed order” means the importer has made full and final payment to Meenysa Neil International Export Private Limited, and the shipment has been delivered as per agreed export terms (FOB/CIF/CFR).No advance or partial commission will be paid before full payment realization.Commission will be calculated on the net invoice amount, excluding taxes, freight, or other external charges.
10.Liablity Disclaimer
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-All content, visuals, and information on our website are provided in good faith. However, Meenysa Neil International Export Private Limited shall not be held liable for any indirect loss, financial damage, or delay caused by product use, transportation, or website interaction.
Buyers must verify import regulations and customs laws applicable in their respective countries before confirming an order.
11. International Sales Agent Clause
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-To expand our global reach, Meenysa Neil International Export Private Limited collaborates with authorized International Sales Agents under approved contracts.
Each sales agent is required to:

Ensure that all export buyer documents obtained through them are authentic and verifiable.

Conduct due diligence on every potential buyer before forwarding the order or documents to our company.
If, however, any sales agent’s clients are found to have submitted fake or forged documents on three separate occasions, then that sales agent’s agreement shall be immediately terminated without notice.
Furthermore, Meenysa Neil International Export Private Limited shall not be held responsible for any financial, practical, or intellectual losses resulting from such fraudulent activities.
The sales agent shall bear full responsibility for any losses or damages arising from negligence, falsified buyer information, or unethical conduct.
This clause ensures transparency, accountability, and professional integrity between our company, our agents, and international buyers.
12. Intellectual Property
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-All logos, photographs, designs, and text featured on this website are the exclusive intellectual property of Meenysa Neil International Export Private Limited.
Unauthorized copying, reproduction, or re-distribution without written permission is strictly prohibited and may result in legal action.
13. Payment of Commission
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-Commission payments will be made only after the Company receives complete payment from the importer in its bank account.The Company will release the commission within 15–30 business days after the final payment is received and verified.All payments will be made through official bank transfer to the agent’s registered business account only.The agent must provide a commission invoice with applicable details before payment release.The Company reserves the right to withhold or delay commission payment in case of any dispute, fraud suspicion, or incomplete verification.
14. Responsibilities of the Agent
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-The Agent agrees to:Promote the Company’s natural stone products honestly and professionally.Introduce genuine and verified importers/buyers only.Not misrepresent the Company’s pricing, quality, or policies.Maintain transparency in all communication with buyers.Immediately inform the Company about any leads, negotiations, or orders.Keep all company-related information strictly confidential.Any act of fraud, misrepresentation, or breach of these terms will lead to termination of agency and forfeiture of commission.
15. Company’s Rights
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-The Company reserves the right to:Approve or reject any sales agent application at its sole discretion.Modify or terminate an agency agreement at any time, with or without notice.Change commission structure or policies for future orders, upon written notification.Disqualify any agent found engaged in unethical or illegal activities.
16. Legal and Banking Verification
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-Before formal approval, the Agent’s:

Bank account details,
Identity documents,
and Trade references will be verified by the Company or its authorized compliance team.Only after successful verification will the agent receive official confirmation and be eligible for commissions.
17. Confidentiality
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-All trade information, buyer details, pricing, and documentation shared between the Company and the Agent shall remain strictly confidential.The Agent shall not disclose, duplicate, or share such information with any third party without written consent.
18. Termination of Agreement
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-This Agreement may be terminated:By either party, with 15 days’ written notice; orImmediately, by the Company, in case of misconduct, fraud, or breach of terms.Upon termination, the Agent will be entitled only to commissions for orders fully paid before the termination date.
19. Limitation of Liability
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-The Company shall not be liable for any indirect, incidental, or consequential damages, including loss of opportunity or profit, arising from the agent’s activities.The Agent acknowledges that they act as an independent contractor, not as an employee or partner of the Company.
20. Governing Law and Jurisdiction
INTERNATIONAL SALES AGENTS TERMS AND CONDITIONS-This Agreement shall be governed by and interpreted in accordance with the laws of India.Any disputes arising out of or relating to this Agreement shall fall under the exclusive jurisdiction of the courts in New Delhi, India.
